1. Definitions and Interpretation

In these Terms and Conditions, unless the context otherwise requires:

• "Platform" means The legalLobby website, mobile application, and all related services
• "Company," "we," "us," "our" refers to LEXHUBPRO PRIVATE LIMITED
• "User," "you," "your" refers to any person accessing or using the Platform
• "Legal Professional" means lawyers, advocates, and legal practitioners registered on the Platform
• "Client" means any person seeking legal services through the Platform
• "Services" means practice management tools and marketplace features provided by the Platform
• "Content" means text, images, documents, data, and other materials on the Platform

2. Acceptance of Terms

By creating an account, accessing, or using The legalLobby platform, you:

• Confirm that you are at least 18 years of age
• Have the legal capacity to enter into binding contracts
• Agree to comply with these Terms and all applicable laws
• Represent that all information provided is accurate and complete

If you do not agree to these Terms, you must immediately cease using the Platform.

3. Nature of Services

3.1 Platform Services

We provide:

• Practice management software (case management, document automation, billing, scheduling)
• A marketplace platform for legal professionals to showcase their services
• Tools to facilitate connections between clients and legal professionals
• Payment processing services (through third-party providers)
• Analytics and reporting features

3.2 No Attorney-Client Relationship

Use of this Platform does NOT create an attorney-client relationship between you and the Company. Any legal services are provided directly by independent legal professionals, not by the Company.

4. User Registration and Account

4.1 Registration Requirements

To use certain features, you must:

• Create an account with accurate, current, and complete information
• Maintain the security of your password and account
• Promptly update any changes to your information
• Accept full responsibility for all activities under your account

4.2 Legal Professional Verification

Legal professionals must:

• Hold valid registration with the Bar Council of India or respective State Bar Council
• Provide authentic credentials and professional information
• Comply with Bar Council of India Rules and professional ethics
• Maintain active and valid professional licenses throughout platform use

4.3 Account Suspension or Termination

We reserve the right to suspend or terminate accounts for:

• Violation of these Terms
• Fraudulent or illegal activities
• Providing false or misleading information
• Harassment or abusive behavior
• Non-payment of fees
• Professional misconduct or ethical violations

5. Subscription Plans and Fees

5.1 Subscription Tiers

We offer multiple subscription plans:

• Standard Plan: ₹599/month + GST
• Advance Plan: ₹999/month + GST
• Premium Plan: ₹2,999/month + GST

5.2 Payment Terms

• All fees are in Indian Rupees (INR)
• Prices are exclusive of applicable taxes (GST will be added)
• Payment is due at the beginning of each billing cycle
• We accept payments via credit/debit cards, UPI, net banking, and other approved methods
• Failed payments may result in service suspension

5.3 Auto-Renewal

Subscriptions automatically renew at the end of each billing period unless cancelled. You will be charged the then-current rate for your plan.

5.4 Price Changes

We reserve the right to modify subscription fees with 30 days' advance notice. Continued use after price changes constitutes acceptance of new rates.

5.5 Marketplace Transaction Fees

We may charge a commission or service fee on transactions facilitated through the marketplace. Fee structure will be clearly communicated before transaction completion.

7. User Conduct and Obligations

7.1 Prohibited Activities

You agree NOT to:

• Violate any applicable laws, regulations, or third-party rights
• Provide false, misleading, or fraudulent information
• Engage in unauthorized advertising or solicitation
• Upload malicious software, viruses, or harmful code
• Attempt to gain unauthorized access to the Platform or other users' accounts
• Scrape, harvest, or collect user data without permission
• Use the Platform for any illegal or unauthorized purpose
• Impersonate any person or entity
• Harass, abuse, or harm other users
• Circumvent security measures or technical limitations

7.2 Professional Conduct for Legal Professionals

Legal professionals must:

• Comply with Bar Council of India Rules and professional ethics
• Maintain client confidentiality as required by law
• Provide accurate information about qualifications and experience
• Avoid conflicts of interest
• Deliver services professionally and competently
• Not engage in ambulance chasing or unethical solicitation

8. Intellectual Property Rights

8.1 Platform Ownership

All content, features, functionality, trademarks, logos, and software on the Platform are owned by LEXHUBPRO PRIVATE LIMITED and protected by Indian and international intellectual property laws.

8.2 User License

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for its intended purpose. This license does not include:

• Copying, modifying, or distributing Platform content
• Reverse engineering or decompiling software
• Using the Platform for commercial purposes outside of intended use

8.3 User Content

You retain ownership of content you upload but grant us a worldwide, royalty-free license to use, display, and distribute such content for platform operation and promotion.

9. Privacy and Data Protection

Your use of the Platform is subject to our Privacy Policy, which is incorporated into these Terms by reference. By using the Platform, you consent to our collection, use, and disclosure of your information as described in the Privacy Policy.

10. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY INDIAN LAW:

• The Platform is provided "AS IS" and "AS AVAILABLE" without warranties of any kind
• We do not warrant that the Platform will be uninterrupted, error-free, or secure
• We do not guarantee the accuracy, completeness, or reliability of content
• We do not endorse or verify the qualifications, competence, or conduct of legal professionals
• We are not responsible for the quality, legality, or outcome of legal services provided through the Platform

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY INDIAN LAW:

• We shall not be liable for any indirect, incidental, special, consequential, or punitive damages
• Our total liability shall not exceed the amount paid by you in the 12 months preceding the claim
• We are not liable for disputes between users and legal professionals
• We are not responsible for losses resulting from unauthorized access to your account
• We are not liable for third-party content or services linked from the Platform

12. Indemnification

You agree to indemnify, defend, and hold harmless LEXHUBPRO PRIVATE LIMITED, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• Your use or misuse of the Platform
• Violation of these Terms
• Infringement of third-party rights
• Your content or conduct on the Platform
• Legal services provided or received through the Platform

13. Dispute Resolution and Governing Law

13.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of India, without regard to conflict of law principles.

13.2 Jurisdiction

The courts of New Delhi, India shall have exclusive jurisdiction over any disputes arising from these Terms or use of the Platform.

13.3 Arbitration

Any dispute shall first be attempted to be resolved through good faith negotiations. If unresolved within 30 days, disputes may be submitted to arbitration in accordance with the Arbitration and Conciliation Act, 1996, in New Delhi, India.

14. Third-Party Services

The Platform may integrate with third-party services (payment processors, cloud storage, communication tools). Your use of these services is subject to their respective terms and privacy policies. We are not responsible for third-party services.

15. Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including natural disasters, acts of government, internet failures, cyberattacks, or other force majeure events.

16. Modifications to Terms

We reserve the right to modify these Terms at any time. Material changes will be notified via email or platform notification at least 15 days in advance. Continued use after changes constitutes acceptance of modified Terms.

17. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

18. Entire Agreement

These Terms, together with the Privacy Policy and Refund Policy, constitute the entire agreement between you and the Company regarding use of the Platform.

19. Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

20. Assignment

You may not assign or transfer these Terms without our written consent. We may assign these Terms to any affiliate or successor entity.

21. Compliance with Laws

This agreement complies with:

• Information Technology Act, 2000
• Consumer Protection Act, 2019
• Consumer Protection (E-Commerce) Rules, 2020
• Indian Contract Act, 1872
• Bar Council of India Rules (for legal professionals)

By using The legalLobby platform, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions.
